Enterprise History

Federal state unitary enterprise “Rosmorport” (FSUE “Rosmorport”) was created by the regulation of the Government of the Russian Federation No. 705 “On the Improvement of Public Administration System in the Sphere of Commercial and Specialized Seaports Management” dated 25 September, 2002, by the order of Ministry of Transport of the Russian Federation No. 154 “On Measures for Realization of the Regulation of the Government of the Russian Federation No. 705” dated 28 November, 2002 and by the decision of Ministry of Property Relations of the Russian Federation No. 1069-r dated 7 April, 2003. 
     FSUE “Rosmorport” was founded by the Ministry of Transport of the Russian Federation and the Ministry of Property Relations of the Russian Federation. The enterprise Statute was approved by the order of Ministry of Transport of the Russian Federation No. 131 dated 14 May, 2003 and endorsed by the decision of the State Property Ministry of the Russian Federation No. 1306-r dated 30 April, 2003.

FSUE “Rosmorport” was registered as a legal entity on the 15th of May, 2003. On the 16th of May, 2003 FSUE “Rosmorport” was given the certificate of the registration by tax authority. The enterprise was listed in the Federal property register on the 9th of December, 2003 with a filing number B7702784.

     2003

The initial authorized capital of FSUE “Rosmorport” equaled 703 075 rubles 20 kopecks.

Yuriy Parfyonov was appointed acting General Director of FSUE “Rosmorport” from the date of its foundation to September, 2003.

As a result of being selected from among other candidates, Nikolay Negodov was appointed General Director of FSUE “Rosmorport” on the 9th of October, 2003 by the order of Ministry of Transport of the Russian Federation No. 1333/K. He held this post from October, 2003 to July, 2006.

In 2003 the following branches of FSUE “Rosmorport” were registered by tax authority: Saint-Petersburg Branch, Tuapse Branch, Novorossiysk Branch, Sochi Branch, Murmansk Branch, Astrakhan Branch, Temryuk Branch, Sakhalin Branch, Vostochny Branch, Magadan Branch, Vanino Branch, Arkhangelsk Branch, Kaliningrad Branch, Taganrog Branch, Yeysk Branch, Vladivostok Branch and the Representative Office of FSUE “Rosmorport” in Krasnodar. However, because of the prolonged transfer of the federal property from sea ports administrations to FSUE “Rosmorport”, the actual functioning of these branches begun in 2004 only.

 

     2004

The Saint-Petersburg Branch of FSUE “Rosmorport” was the very first branch that started operating and charging harbor dues in the seaports of Sankt-Petersburg and Primorsk on 1 February, 2004.

By decision of Federal Energy Regulatory Commission FSUE “Rosmorport” was listed among natural monopoly entities in the sphere of transport.

In June, 2004 the Anadyr Branch of FSUE “Rosmorport” was formed and started working.

The Petropavlovsk Branch of FSUE “Rosmorport” was formed and started working in July, 2004.

By decree of the President of the Russian Federation No. 1009 dated 4 August, 2004 FSUE “Rosmorport” was put on the list of strategic enterprises that produce goods and services strategically important for the defense capacity and security of the state.

In October, 2004 in accordance with FSUE “Rosmorport” order dated 28 October, 2004 №249a/OD the Shipchandler Branch of FSUE “Rosmorport” in Novorossiysk was created, and its statute was approved.

As a result of the reform of federal executive organs, Federal Agency for Marine and River Transport was formed in 2004. By order of the Government of the Russian Federation No. 1748-r dated 31 December, 2004 FSUE “Rosmorport” was transmitted under the authority of Federal Agency for Marine and River Transport (Rosmorrechflot).

 

     2005

In January 2005 the FSUE “Rosmorport” Temryuk Branch was given a new name — the FSUE “Rosmorport” Taman branch.

The FSUE “Rosmorport” Vyborg-Vysotsk Branch  was formed and started functioning in February, 2005. In the same month the Shipchandler Branch of FSUE “Rosmorport” in Saint-Petersburg was formed. However, it was dissolved in the end of the year, due to lack of efficiency.

The new edition of FSUE “Rosmorport” Statute was approved by the order of Federal Agency for Marine and River Transport No. VR-130-R dated 31 March, 2005.

In order to take the full advantage of the enterprise’s management structure and personnel number, the Representative Office of FSUE “Rosmorport” in Krasnodar was dissolved on 1 June, 2005. For the same reason the FSUE “Rosmorport” Novorossiysk Branch was reorganized into the Azov-Black Sea Branch, the Sochi Branch was dissolved and the detached subdivision of the Azov-Black Sea Branch was formed in the seaport of Sochi.

In July 2005, in accordance with the order of Rosmorrechflot No. VR-195-r dated July 20, 2005, an amendment was made to the FSUE “Rosmorport” Charter due to the renaming of the FSUE “Rosmorport” Novorossiysk Branch into the FSUE “Rosmorport” Azovo-Chernomorsky Branch. In the same month, the FSUE “Rosmorport” Ust-Luga Branch was established and began its activities.

     In August 2005, in accordance with the order of Rosmorrechflot No. VP-217-r dated August 4, 2005, an amendment was made to the FSUE “Rosmorport” Charter due to the change in the location of the FSUE “Rosmorport” Eastern Branch. In the same month, in accordance with the order of Rosmorrechflot No. VP-253-r dated August 30, 2005, an amendment was made to the FSUE “Rosmorport” Charter due to the expansion of the list of permitted types of the enterprise statutory activities with the possibility of carrying out loading and unloading operations in seaports.

 

     2006

 In July, 2006 Yuriy Parfyonov was selected among other candidates and appointed General Director of FSUE “Rosmorport” by the order of Federal Agency for Marine and River Transport No. 74/K-MRF (12 July, 2006).

The Novorossiysk Shipchandler Branch of FSUE “Rosmorport” was dissolved in November, 2006, in accordance with FSUE “Rosmorport” order dated 22 August 2006 No. 342/OD, in order to improve the enterprise’s management structure and personnel number.

In December, 2006 by the order of Federal Agency for Marine and River Transport No. AD-201 dated 22 December 2006 the initial authorized capital of FSUE “Rosmorport” was increased and reached 5,500,703,075.20 RUR.

 

     2007

In June 2007, in accordance with the order of Rosmorrechflot No. AD-92-r dated June 27, 2007, an amendment was made to the FSUE “Rosmorport” Charter due to the change in the location of the FSUE “Rosmorport” Arkhangelsk Branch.

     In September 2007, in accordance with the order of Rosmorrechflot No. AD-121-r dated September 13, 2007, an amendment was made to the FSUE “Rosmorport” Charter due to the expansion of the list of permitted types of the enterprise statutory activities with the possibility to carry out shipping and forwarding operations on maritime transport.

     2008

In June 2008, in accordance with the order of Rosmorrechflot No. IZ-120-r dated June 18, 2008, amendments were made to the FSUE “Rosmorport” Charter due to the renaming of the FSUE “Rosmorport” Azovo-Chernomorsky Branch into the FSUE “Rosmorport” Novorossiysk branch, as well as the change in the location of the FSUE “Rosmorport” Petropavlovsk Branch.

In November, 2008 the detached subdivision of the Novorossiysk branch in the seaport of Sochi was turned into the FSUE “Rosmorport” Sochi branch. This change was aimed at increasing the efficiency of managing the port infrastructure construction, which was a part of the federal target program of the preparation for the winter Olympic Games in Sochi in 2014. 
     In December, 2008 by the order of the Federal Agency for Marine and River Transport dated 26 December, 2008 No. AD-242-r changes concerning the address of the FSUE “Rosmorport” Tuapse branch were brought to the FSUE “Rosmorport” Statute.

 

     2009

By the order of Federal Agency for Marine and River transport dated 15 April, 2009 No. 30/K-MRF Yuriy Parfyonov was dismissed from the position of General Director of FSUE “Rosmorport” and by the order of Ministry of Transport of the Russian Federation dated 15 April 2009 No. 303/k was appointed to the post of Deputy Head of Federal Agency for Marine and River Transport.

By the order of Federal Agency for Marine and River Transport dated 15 April, 2009 No. 31/K-MRF the duties of General Director of FSUE “Rosmorport” were assigned to Igor Rusu — Deputy General Director of FSUE “Rosmorport”.

Following the results of the competition on replacement of a vacant post of General Director of FSUE “Rosmorport” held by Federal Agency for Marine and River Transport on 4 June, 2009, Igor Rusu was recognized as winner.

On 5 June, 2009 Igor Rusu was selected among other candidates and was appointed General Director of FSUE “Rosmorport”, by the order of Federal Agency for Marine and River Transport No. 52/K-MRF dated 4 June, 2009.

In August, 2009 by regulation of the Government of the Russian Federation No. 1226-r, according to article 190 of the Federal law “About Inconsistency (bankruptcy)”, FSUE “Rosmorport” was included into the list of the strategic organizations and also federal executive authorities providing realization of the united state policy in branches of economy in which these organizations carry out their activities.
     In September, 2009 by the order of the Federal Agency for Marine and River Transport dated 14.09.2009 No. AD-174-р changes were brought to the FSUE “Rosmorport” Statute due to establishing of the FSUE “Rosmorport” Rostov Branch.
     In October, 2009 by the FSUE “Rosmorport" order from 26 October, 2009 No. 452 the decision on foundation of the FSUE “Rosmorport” Rostov Branch was taken and it started its activity on 1 December, 2009.

 

     2010

     In February, 2010 by the order of the Federal Agency for Marine and River Transport dated 06.02.2010 No. AD-18-r changes extending the list of enterprise activities were brought to the FSUE “Rosmorport” Statute. In particular, the enterprise obtained the right to render services on icebreaking pilotage in the Northern Sea Route.
     In July, 2010 by the order of the Federal Agency for Marine and River Transport dated 12.09.2010 No. AD-184-r the FSUE “Rosmorport” authorized capital was increased to 8,465,904,721.73 RUR.
     In July, 2010 by the order of the President of the Russian Federation dated 21.07.2010 No. 928 the proposal of the Government of the Russian Federation concerning the merger between FSUE “Rosmorport” (Moscow) and FSUE “Azov Directorate for Marine Communications” (Taganrog) was approved. In March 2011 the reorganization was completed. Property, rights and liabilities of the FSUE “Azov Directorate for Marine Communications” were transferred to the FSUE “Rosmorport” in the order of succession.
     In December, 2010 by the order of the Federal Agency for Marine and River Transport dated 29.12.2010 No. SG-386-r the FSUE “Rosmorport” authorized capital was increased to 15,357,884,398.56 RUR.

 

     2011

     In February, 2011 by the order of the Federal Agency for Marine and River Transport dated 04.02.2011 No. AD-20-r changes were brought to the FSUE “Rosmorport” Statute due to renaming of the FSUE “Rosmorport” Saint Petersburg and Novorossiysk branches into North-Western and Azovo-Chernomorsky basin branches respectively.
     In April, 2011 by the order of the Federal Agency for Marine and River Transport dated 29.04.2011 No. AD-102-r changes concerning the establishing of the FSUE “Rosmorport” Azov branch and the procedure of the FSUE “Rosmorport” branches and representative offices directors appointments were brought to the FSUE “Rosmorport” Statute. 
     In June, 2011 by the order of the Federal Agency for Marine and River Transport dated 30.05.2011 No. 47/k-mrf I. Rusu was dismissed from the post of the FSUE “Rosmorport” General director upon mutual the agreement of the parties. Andrey Lavrischev, the FSUE “Rosmorport” Executive Director, was appionted Acting General Director by the order of the Federal Agency for Marine and River Transport dated 30.05.2011 No. 48/k-mrf. In the same month, by the decree of the Government of the Russian Federation dated 20.06.2011 No. 1060-R FSUE “Rosmorport” was included in the list of FSUEs for which special procedure of decision-making for certain aspects of their activities by bodies of executive power is stipluated.
     In July, 2011 the FSUE “Rosmoport” voluntary quit the nonprofit partnership Association of Project Organizations.
     In August 2011, in accordance with the order of Rosmorrechflot No. AD-255-r dated August 3, 2011, amendments were made to the FSUE “Rosmorport” Charter in order to clarify:

     - the locations of navigation safety systems, which are operated, maintained in proper technical condition, modernized and constructed by the enterprise;

     - one of the types of statutory activities of the enterprise related to the implementation of navigation and hydrographic support for navigation of vessels in the waters of seaports and on approaches to them;

     - the procedure for appointing general director of the enterprise, the procedure for concluding, amending and terminating an employment contract with him.

     In September, 2011 on the ground of the decision of the Head of Russian Federation Goverment S.Ivanov dated 13.09.2011 No. SI-P9-6473, by the order of the Federal Agency for Marine and River Transport dated 21.09.2011 No. 72/k-mrf, A. Lavrischev was appointed General Director of the FSUE “Rosmorport”.

 

     2012

     In January, 2012 FSUE “Rosmorport” membership in the Transport Corridor “North-South” Competitiveness Improvement Center was terminated due to exclusion of the organization from the Unified State Register of Legal Entities.
     In April, 2012 FSUE “Rosmorport” in coordination with Rosmorrechflot established “RMP-Taman” LLC.
     In June, 2012 the new edition of FSUE “Rosmorport” Statute was approved by the order of the Federal Agency for Marine and River Transport No. SG-150-r dated 09.06.2012. 
     In July, 2012 by the FSUE “Rosmorport” orders dated 16.07.2012 No.436 and No.438 it was decided to create the FSUE “Rosmorport” Makhachkala and Far Eastern branches.
     In October, 2012 by the FSUE “Rosmorport” Makhachkala and Far Eastern branches began their activities.

     2013

     In February 2013 by Rosimushchestvo regulation dated 22.02.2013 No. 108-r it was decided to increase the FSUE “Rosmorport” statutory fund by the sum of 10,134,570,938.13 RUR, which amounts to the budget investments into the property objects the construction of which finished in 2010-2011, and secured to FSUE “Rosmorport” on the basis of economic control rights, up to the sum of 25,511,318,382.69 RUR.
     In March 2013 by Rosmorrechflot orders dated 18.03.2013 No.74/k-mrf and No. 75/k-mrf A. Lavrishchev was released from the position of  FSUE “Rosmorport” General Director, and the duties of FSUE “Rosmorport” General Director were transferred to Deputy General Director of FSUE “Rosmorport”, Igor Levit.
     In April 2013 by Rosmorrechflot order dated 02.04.2013 No. AD-85-r the FSUE “Rosmorport” Statute was amended. In particular:
     - the enterprise statutory fund was increased up to 25,511,318,382.69 RUR;
     - the list of the enterprise statutory activities was completed by adding activities in the field of usage of the ionizing radiation sources (generators), which is necessary for the enterprise to fulfill its duties on providing safety for the port infrastructure facilities secured to it and protecting them from illegal intrusion in seaports; 
     - necessary amendments were made in order to ensure compliance of the enterprise statutory activities to the amended legislation of the Russian Federation in the field of state regulation of merchant shipping in the Northern Sea Route water area. 
     On 22 April 2013 the Interdistrict Inspectorate No. 46 of the Federal Tax Service in Moscow registered the amendments to the FSUE “Rosmorport” Statute and issued a certificate on making  an entry into the Unified State Register of Legal Bodies dated 22.04.2013 No. 8137746425677.   
     In May, 2013 by a decision of the Board of the self-regulatory organization - non-commercial partnership “Interregional Association of Small and Medium-sized Construction Enterprises - OPORA” (Minutes of 27.05.2013 № 13-ZP/2013) FSUE “Rosmorport” received a certificate dated 27.05.2013 No. 208 for admission to the partnership. 
     In June 2013 by Rosmorrechflot order dated 19.06.2013 No. 132/k-mrf Executive Director of FSUE “Rosmorport” A.V. Lavrishchev was made Acting General Director of FSUE “Rosmorport”.
     In July 2013 by Rosmorrechflot order dated 01.07.2013 No. 135/k-mrf Deputy Director of FSUE “Rosmorport” Andrey V. Tarasenko was appointed Acting General Director of FSUE “Rosmorport”. In the same month by Rosmorrechflot order dated 12.07.2013 No. AD-203-r the FSUE “Rosmorport” Statute was amended, and the list of the statutory activities of the enterprise included organization of repairs, technical and general maintenance and provision of vessels.
     In September 2013 by agreement of Deputy Prime Minister of the Russian Federation A.V. Dvorkovich dated 05.09.2013 No. AD-P17-6357 and Rosmorrechflot order dated 11.09.2013 No. 161/k-mrf Tarasenko A.V. was appointed General Director of FSUE “Rosmorport”.

     In October 2013 by the Resolution of the Government of the Russian Federation No. 883 of 07.10.2013 FSUE "Rosmorport" has been included in the list of the organizations established to address the tasks assigned to the Government of the Russian Federation, approved by the Resolution of the Government of the Russian Federation No. 613 of 22.07.2013 “On provision by citizens, seeking positions in organizations established to address the tasks assigned to the Russian Federation Government, and employees occupying positions in these organizations, of information about income, expenses, property and property-related obligations; validation and completeness check of information and of employees’ compliance with official conduct requirements”.

 

     2014

     In March 2014 President of Russia Decree dated 12.03.2014 accepted the Government of Russia suggestion to reorganize FSUE “Rosmorport” by joining FSUE “Moryak” Recreation Centre (Mozhaysk town, Moscow Region). Also in that month it was decided to make several amendments into the FSUE “Rosmorport” Statute connected to creation of two new enterprise branches – Crimean Basin Branch and Sevastopol Branch, which will be located in the two new subjects of the Russian Federation – Republic of Crimea and the city of federal significance of Sevastopol. The amendments were established by Rosmorrechflot order No. SG-119-r dated 28.03.2014, in accordance with the Federal Constitutional Law No. 6-FKZ dated 21.03.2014 “On Admission of the Crimean Republic into the Russian Federation and on creation of two new subjects of the Russian Federation – Republic of Crimea and the city of federal significance Sevastopol”. In accordance with the amendments to the Statute, the Statutes on the FSUE “Rosmorport” Crimean Basin Branch and Sevastopol Branch were approved by orders No. 117 dated 31.03.2014 and No. 118 dated 31.03.2014.
     In June 2014 by Rosmorrechflot order No. 42 dated 16.06.2014 the FSUE “Rosmorport” General Director Andrey Tarasenko entered into the list of members of the new advisory body – the Rosmorrechflot Board. Previously existing Rosmorrechflot Council, also functioning with the participation of the enterprise General Director, was abrogated.
     In July 2014 by Rosmorrechflot Regulation dated 16.07.2014 No. AD-272-r the FSUE "Rosmorport" Statute was amended. In particular:
     - the Vladivostok Branch was renamed into the Far Eastern Basin Branch;
     - the list of FSUE "Rosmorport" statutory activities was supplemented with four activities involving:
          a) participation of FSUE “Rosmorport” in provision of transport security in seaports;
          b) maintenance in proper technical condition, organization of technical support, repairs, reconstruction and new construction of engineering and technical means for provision of transport security in the water areas of the seaports of the Russian Federation;
          c) participation of the enterprise in creation and maintenance of the marine areas А1, А2, А3, А4 of the Global Marine Distress and Safety System, including the marine areas А3/А4 in the Northern Sea Route water area;
          d) acting as NAVAREA coordinator in geographical areas NAVAREA XX and XI located in the Arctic ocean and coordinated by the Russian Federation.
     In August 2014 by Rosmorrechflot order dated 01.08.2014 No. SG-294-r the FSUE “Rosmorport” Statute was amended due to the dissolution of the Far Eastern and Vostochny Branches of the enterprise.

 

     2015

     In May 2015 FSUE “Rosmorport” cancelled its membership in the self-regulatory organization: non-profit partnership “Interregional Association of Architecture and Design Enterprises of Small and Medium Entrepreneurship – OPORA” under the letter of voluntary cancellation of membership submitted by FSUE “Rosmorport”.
     In June 2015, in accordance with the order of Rosmorrechflot No. AD-195-r dated June 8, 2015, an amendment was made to the FSUE “Rosmorport” Charter related to:

     - the clarification of the location of the Makhachkala and Crimean Basin Branches of FSUE “Rosmorport”;

     - the expansion of the list of the enterprise’s permitted activities with the power to assess the vulnerability of transport infrastructure facilities and vehicles, develop transport security plans for transport infrastructure facilities and vehicles, carry out water supply and sanitation activities, carry out heat supply activities;

     - the clarification of certain powers of the enterprise by establishing a procedure for coordination with Rosmorrechflot;

     - the clarification of the procedure for appointing and dismissing deputies of the general director and the chief accountant of the enterprise, as well as the specifics of going on a business trip and going on vacation for the general director of the enterprise by establishing a procedure for coordination with Rosmorrechflot.


     In September 2015 by Rosmorrechflot order dated 03.09.2015 No. KS-314-r amendments were made to the FSUE “Rosmorport” Statute, according to which the list of permitted types of activities was supplemented by ice pilotage in the waters of the Northern Sea Route; besides, amendments were made into the clauses of the Statute defining the rights of the enterprise to perform the permitted types of activities for which the Russian legislation demands to receive special permissions, licenses and certificates.

 

     2016

     In September 2016 based on Russian Federal Maritime and River Transport Service (Rosmorrechflot) Resolution No VO-226-r issued on September 23, 2016 the FSUE “Rosmorport” Charter was amended due to the increase of the enterprise's authorized capital stock to the amount of 32,729,470,065 Rubles 83 Kopecks (thirty two billion seven hundred twenty nine million four hundred seventy thousand sixty five Rubles 83 Kopecks).

 

     2017

     In January 2017 in order to carry out the tasks aimed at organizing regular sea service between Sochi and the cities of the Crimean peninsula FSUE “Rosmorport” founded OOO (a limited liability company) “Black Sea Cruises”. The tasks were set forth by Russian President Vladimir Putin at a session of the Presidium of the Russian State Council on September 15, 2016 in coordination with the Russian Federal Maritime and River Transport Service (Rosmorrechflot) (Letter No Nzh-27-516 dated January 19, 2017).

 

     In February 2017 based on Russia's Federal Maritime and River Transport Service (Rosmorrechflot) Resolution No VO-16-r issued on February 08, 2017 the FSUE “Rosmorport” Charter was amended due to the increase of the enterprise's authorized capital stock to the amount of 64.224.601.169 Rubles 86 Kopecks (sixty four billion two hundred twenty four million six hundred one thousand one hundred sixty nine Rubles 86 Kopecks). In the same time under Russia's Federal Maritime and River Transport Service (Rosmorrechflot) Resolution No VO-31-r the FSUE “Rosmorport” Charter was amended, and FSUE “Rosmorport” was vested with authority to perform functions of builder customer in project planning, constructing (reconstructing) and equipping of buildings, premises and facilities to organize border, customs and other types of control in checkpoints through the Russian border in seaports.


     In March 2017, in accordance with the order of Rosmorrechflot No. VO-43-r dated March 6, 2017, amendments were made to the FSUE “Rosmorport” Charter due to the expansion of the list of the enterprise’s permitted activities with the power of carrying out activities to protect transport infrastructure facilities and vehicles from acts of illegal intervention. In the same month, by order of Rosmorrechflot No. KS-63-r dated March 24, 2017, amendments were made to the FSUE “Rosmorport” Charter due to the expansion of the list of the enterprise’s permitted activities with the power to ensure the registration of emergency radio beacons KOSPAS-SARSAT in the database of the KOSPAS-SARSAT System International Coordination and Computing Center (Moscow); to participate in the organization of design and construction of stations for receiving and processing satellite information of the KOSPAS-SARSAT system; to participate in control over their operation; to perform the duty on maintenance, operation and development of the Russian part of the International Satellite Search and Rescue System KOSPAS-SARSAT segment.

 

     In May 2017 FSUE “Rosmorport” cancelled its membership in the association of self-regulatory organization “Baltic Construction Complex” under the application by FSUE “Rosmorport” on transfer to the self-regulating organization called “Interregional Association of Special Construction Organizations”. In the same month, by Decision No. 12 dated 02.05.2017 issued by the Council of the self-regulating organization “Interregional Association of Special Construction Organizations”, FSUE “Rosmorport” received Certificate of the admission to the union membership No.402 dated 03.05.2017.

 

     In October 2017 in accordance with the Order of Rosmorrechflot No. 123/k-mrf of October 4, 2017 the FSUE “Rosmorport” General Director A. Tarasenko was relieved of his position due to transfer to another job – by Decree of President of Russia No. 462 of October 4, 2017 A. Tarasenko was appointed Acting Governor of Primorye Territory. In the same month by Order of Rosmorrechflot No. 124/k-mrf the duties of General Director of FSUE “Rosmorport” were imposed on Andrey Lavrishchev, Executive Director of FSUE “Rosmorport”.

     2018

 

    In August 2018 based on Rosmorrechflot Resolution No UC-277-r of August 13, 2018 the FSUE “Rosmorport” Charter was amended due to the increase of the enterprise's authorized capital stock to the amount of 102,717,118,998 Rubles 84 Kopecks (one hundred and two billion seven hundred seventeen million one hundred eighteen thousand nine hundred ninety nine Rubles 84 Kopecks).

     In December 2018 in accordance with the Order of Rosmorrechflot No. UC-439-r of December 6, 2018 the FSUE “Rosmorport” Charter was amended due to dismantling of the Sochi Branch.

 

     2019

 

     In April 2019 under Rosmorrechflot Resolution No. UZ-119-r of April 02, 2019 an amendment has been made to the FSUE “Rosmorport” Charter in order to specify one of the types of the enterprise’s statutory activity related to FSUE “Rosmorport” participation to ensuring transport security of the seaports’ water areas, particularly rendering services by the enterprise to ensure transport security of a seaport’s water area, as well as to add a list of the FSUE “Rosmorport” statutory activity by another type of activity aimed at giving an assessment on vessel protection and developing plans for protecting vessels and harbors. That same month under Rosmorrechflot Resolution No UZ-142-r of April 16, 2019 an amendment has been made to the FSUE “Rosmorport” Charter to increase the FSUE “Rosmorport” charter capital up to 103,063,922,921.14 (one hundred three billion six hundred sixty three million nine hundred twenty-two thousand nine hundred and twenty-one) Rubles 14 Kopecks.

 

     In August 2019 under Rosmorrechflot Resolution No. UZ-372-r of August 27, 2019 an amendment has been made to the FSUE “Rosmorport” Charter to expand a list of types of the enterprise’s statutory activity by carrying out operations aimed at conducting federal statistical monitoring. 


     In October 2019 according to the order of Rosmorrechflot No. YuC-423-r of 11.10.2019, the Charter of FSUE “Rosmorport” had been amended due to the change of the registered address of the Far Eastern Basin Branch of FSUE “Rosmorport”.

 

     In November 2019 under Rosmorrechflot Resolution No. UZ-470-r of November 13, 2019 an amendment has been made to the FSUE “Rosmorport” Charter to increase the FSUE “Rosmorport” charter capital up to 107,668,627,865.64 (one hundred and seven billion six hundred sixty-eight million six hundred twenty-seven thousand eight hundred sixty-five) Rubles 64 Kopecks.


     In December 2019, according to the order of Rosmorrechflot No. AP-548-r of 25.12.2019, the Charter of FSUE “Rosmorport” was amended in relation to the inclusion of activities for the design, development, creation, implementation and operation of multi-user information systems, including interdepartmental and sectoral ones, in the list of statutory activities of FSUE “Rosmorport”.

 

     2020

 

     In June 2020, according to the order of Rosmorrechflot No. AP-217-r of 25.06.2020, the the Charter of FSUE “Rosmorport” was amended in relation to the expansion of the list of statutory activities of FSUE “Rosmorport” by activities in the field of the organization of concerts, festivals, competitions and other stage performances, as well as the implementation of entertainment and cultural and leisure activities.

 

     In September 2020, according to the order of Rosmorrechflot No. AP-392-r of 08.09.2020, the part of the Charter of FSUE “Rosmorport” was amended in relation to clarification of the procedure for the disclosure of information on income, property and property obligations by the management of FSUE “Rosmorport”. In the same month, by order of Rosmorrechflot No. AP-402-r dated September 14, 2020, an amendment was made to the FSUE “Rosmorport” Charter due to an increase in the authorized fund of FSUE “Rosmorport” up to 110 342 690 551 (One hundred ten billion three hundred forty-two million six hundred ninety thousand five hundred fifty-one) and 20 kopecks.

 

     In November 2020, by order of Rosmorrechflot No. AP-506-r dated 06.11.2020, the Charter of FSUE "Rosmorport" was approved in a new edition.

 

     In December 2020, by order of Rosmorrechflot No. AP-582-r dated 08.12.2020, the Charter of FSUE "Rosmorport" was amended relating to clarification of the procedure for obtaining Rosmorrechflot consent to make transactions with FSUE "Rosmorport".

 

     2021

 

     In January 2021, in accordance with the order of Rosmorrechflot No. 74/k-mrf dated 25.01.2021, General Director Lavrishchev A.V. was removed from office due to his transfer to another job – appointment of Lavrishchev A.V. to the office of head of the Federal Agency for Maritime and River Transport by order of the Government of Russia No. 88-r dated 21.01.2021. In the same month, by order of Rosmorrechflot No. 75/k-mrf dated 25.01.2021, the implementation of functions of the General Director of FSUE "Rosmorport" was assigned to Smirnov Alexander Alexandrovich, Deputy General Director for Work with Executive Bodies of FSUE "Rosmorport", without dismissal from his office. In addition, amendments to the FSUE “Rosmorport” Charter were introduced in accordance with the Rosmorrechflot order No. AP-3-r of January 13, 2021, due to excluding functioning as NAVAREA coordinator for NAVAREA geographic areas XX and XXI from the enterprise’s Charter. Additionally, in January 2021 amendments to the FSUE “Rosmorport” Charter were made in accordance with the Rosmorrechflot order No. AP-7-r of January 15, 2021 due to the change of the corresponding address of the Vanino Branch of FSUE “Rosmorport”.


     In March 2021 by the order of Rosmorrechflot No. 100/k-mrf of March 2, 2021 Smirnov A.A., who had previously held the position of Deputy General Director for Work with Executive Bodies, was appointed General Director of FSUE “Rosmorport”. In the same month, by the order of Rosmorrechflot No. AL-78-r dated March 12, 2021, the FSUE “Rosmorport” Charter was amended due to the change in the postal address of the FSUE “Rosmorport” Magadan Branch.


     In November 2021, by the order of Rosmorrechflot No. AL-505-r dated November 8, 2021, the FSUE “Rosmorport” Charter was amended due to the clarification of the amount of the FSUE “Rosmorport” authorized capital, which after the amendments is 111,543,307,876 (one hundred and eleven billion five hundred forty-three million three hundred seven thousand eight hundred seventy-six) rubles 82 kopeck.

 

     2023

 

     In January 2023, in accordance with the order of Rosmorrechflot No. ZD-6-r dated January 10, 2023, an amendment was made to the FSUE “Rosmorport” Charter due to an increase in the authorized capital of FSUE “Rosmorport”, which is 121,224,253,599 (one hundred twenty-one billion two hundred twenty-four million two hundred fifty-three thousand five hundred ninety-nine) rubles 61 kopeck.


     In March 2023, in accordance with the order of Rosmorrechflot dated March 20, 2023 No. ZD-66-r, an amendment was made to the FSUE “Rosmorport” Charter due to the liquidation of two branches of the enterprise (Anadyr and Magadan) and the renaming of the FSUE “Rosmorport” Vanino Branch to the North-Eastern Basin Branch of FSUE “Rosmorport”. In the same month, in accordance with the minutes of the meeting of the expert commission dated March 14, 2023 No. 1 on summing up the results of the Rosmorrechflot competition “Industry Leader” for 2022, FSUE “Rosmorport” was determined the winner in the nomination “The best organization providing services in the field of navigation support (sea/river)” for the successes achieved in 2022 and was awarded the “Industry Leader” pennant.


     In June 2023, in accordance with the order of Rosmorrechflot dated June 20, 2023 No. ZD-218-r, an amendment was made to the FSUE “Rosmorport” Charter due to the liquidation of the Azov Basin of the enterprise.


     In October 2023, in accordance with the order of Rosmorrechflot dated October 17, 2023 No. BT-408-r, an amendment was made to the FSUE “Rosmorport” Charter due to the clarification of the list and names of the enterprise’s branches.


     In November 2023, in accordance with the order of Rosmorrechflot dated November 30, 2023 No. BT-470-r, an amendment was made to the FSUE “Rosmorport” Charter due to the clarification of the list and names of the enterprise’s branches.


     FSUE "Rosmorport" today is a unitary enterprise which consists of a head quarters and 11 branches, operating in 24 regions of the Russian Federation. Almost 8.3 thousand employees are employed at the enterprise.



     The representatives of FSUE “Rosmorport” are members of several government councils, taking active part in developing optimal suggestions on fulfilling the key industry tasks.
